TERMS & CONDITIONS OF SALES

These Terms and Conditions of Sale (“T&Cs”) apply to all purchases made through Joyson Pte Ltd (“we”, “our”, or “us”), whether through our online platform (www.joysonpl.com) or via offline channels (e.g., in-person, phone, or email orders). These T&Cs apply to both the general public and medical professionals. By purchasing our products, you agree to be bound by these T&Cs. Please read them carefully.

GENERAL INFORMATION

1. These T&Cs govern all transactions related to the sale of products offered by us, whether completed online or offline.

2. These T&Cs may be amended at any time, and any changes will take effect when posted on our website or communicated to you in writing. It is your responsibility to review these T&Cs before making a purchase.

3. These T&Cs are governed by the laws of Singapore.

ELIGIBILITY OF PURCHASE

4. Purchasers must be at least 18 years of age.

5. For medical products intended for professional use, only licensed medical professionals and institutions (e.g., doctors, hospitals, clinics) are eligible to make purchases. Medical professionals are responsible for ensuring compliance with relevant laws and guidelines when purchasing and using our products.

PRODUCT INFORMATION

6. We strive to provide accurate descriptions of the products on our website and in our catalogues. However, we do not warrant that the product descriptions, images, or other content are error-free.

7. The availability of products is subject to change without notice, and we reserve the right to limit quantities or discontinue products at any time.

8. Medical professionals must use products in accordance with their intended use and in compliance with professional standards and local regulations.

PRICING

9. All prices are listed in Singapore Dollars (SGD) and inclusive of Goods and Services Tax (GST), unless otherwise stated.

10. Prices for the general public and medical professionals may vary depending on promotions, bulk discounts, or negotiated terms.

11. We reserve the right to change prices at any time. If an incorrect price is listed due to a technical error or human mistake, we reserve the right to cancel any order placed with the incorrect price, even if the order has been confirmed.

ORDERS

12. Orders can be placed online, in-person, by phone, or via email.

13. All orders are subject to acceptance. We reserve the right to cancel or refuse any order for any reason, including but not limited to stock shortages, inaccuracies in product information, or issues with your account.

14. Once your order is confirmed, you will receive an acknowledgment via email or invoice, depending on the purchase method. Please note that an email acknowledgment from our website for online order does not constitute acceptance of your order, until an official acknowledgment email from our Customer Service personnel.

PAYMENT (ONLINE & OFFLINE)

15. For online orders, payment must be made at the time of purchase using HitPay Payment Gateway (Credit Card).

16. For offline purchases, payment terms will be agreed upon at the time of sale. Medical professionals may be offered credit terms, subject to approval [(Read 7. CREDIT TERMS (OFFLINE PURCHASES)].

17. A physical invoice will be sent along with your purchase. For companies that require a e-invoice to be sent to your finance department, the information should be provided to Joyson Pte Ltd upon creation of account. It is your responsibility to ensure that invoices are received and settled within the agreed-upon timeframe.

18. Any disputes related to an invoice or payment must be raised within 3 working days of the invoice date. Disputes must be submitted in writing to sales@joysonpl.com.

19. Invoices must be paid in accordance with the agreed payment terms. Payment of goods is due within 30 days from the date of invoice. Payments not received within the agreed payment terms will be considered overdue.
▪ Failure to make timely payments may result in the suspension of further deliveries and will incur a late payment interest of 5% per month. Interest will accrue from the due date until the full amount is paid.
◦ All fees incurred in the process of recovering the outstanding amount, including but not limited to legal fees, collection agency fees, and administrative costs, will be charged to the customer.
◦ Accounts overdue by more than 60 days may be subject to suspension of services and/or delivery of goods.
◦ We reserve the right to withhold further orders, cancel pending orders and cancel credit facilities for overdue accounts.

CREDIT TERMS (OFFLINE PURCHASES)

20. Credit terms are extended only to registered medical professionals, healthcare institutions, clinics, and authorized healthcare entities with prior approval from Joyson Pte Ltd.

21. Credit facilities are available subject to our internal approval process, and we reserve the right to approve, modify, or deny any credit application at our discretion.

22. Medical professionals or organizations must complete and submit an account creation application form, including all relevant details such as license information, company registration (full business registration profile issued by ACRA), and any required details upon request.

23. By having an account with Joyson Pte Ltd, you consent to us performing credit checks or obtaining references where necessary. Approved credit limits will be communicated upon acceptance of the application. These limits are subject to review and adjustment based on your credit performance.

24. Each account will have a defined credit limit, which is the maximum balance that can be owed at any one time. You may not exceed this limit without prior written approval from us.

25. If your outstanding balance exceeds the credit limit, we reserve the right to withhold further shipments or services until the balance is brought within the limit or full payment is made.

26. Payment terms are strictly 30 days from the date of invoice, unless otherwise specified in writing approved by Joyson Pte Ltd

27. We reserve the right to review and revise credit limits at any time based on payment history, financial health, or other business considerations. We also reserve the right to suspend or terminate credit terms if:
• Payments are consistently late.
• Your financial situation changes, or we believe you may have difficulty in paying.
• You violate any of these Credit Terms T&Cs or any other applicable T&Cs.

28. Upon suspension or termination, all outstanding balances become immediately due and payable.

DELIVERY AND SHIPPING

29. All goods are delivered ex-warehouse from our warehouse.

30. We offer shipping within Singapore. For international orders, please email us at enquiry@joysonpl.com. Please ensure that you have the relevant license for importing into your country, additional charges and customs duties may apply.

31. We have a minimum order value of $120 (before GST). A shipping cost of $15 (before GST) will be charged for all orders below the minimum order value of $120.

32. Delivery times may vary depending on availability and your location. We will make every effort to deliver your products within the estimated time, but we are not liable for any delays.

33. Once the products are delivered to your specified address, the risk of loss and title of the products purchased pass to you.

RETURNS AND REFUNDS

34. We want our customers to be satisfied with their purchase. If you wish to return a product, you may do so within 14 days from the delivery date for a refund or exchange, subject to the following conditions:
• The product must be in its original condition and packaging, with all labels and tags attached. Proof of purchase must also be provided.
• Certain products (such as personal care items, opened consumables or medical devices, etc.) will not be eligible for return due to health and safety reasons.
• To initiate a return, please email our customer service at sales@joysonpl.com.
• Refunds will be processed within 10 business days of receiving the returned item(s) and will be made to the original payment method.
• Returns will be subjected to a restocking fee of 5% of the purchase price, with a minimum charge of S$20, whichever is higher, unless the return is due to a defective product or error on our part.

35. All customers are responsible for the appropriate storage and handling of medical products during any return process.

WARRANTY AND LIABILITY

36. Joyson Pte Ltd warrants that all products sold are of merchantable quality and are fit for the ordinary purposes for which such products are used. This warranty is implied by law and does not need to be explicitly stated in the contract.

37. Joyson Pte Ltd liability is limited to the replacement of defective goods or a refund of the purchase price.

38. Medical professionals using products whether purchased online or offline are responsible for ensuring that products are used in accordance with all professional standards and regulations.

39. Joyson Pte Ltd shall not be liable for any indirect, incidental or consequential damages including loss of profits or business, arising out of improper use or storage of the products, whether purchased online or offline.

FORCE MAJEURE

40. We will not be held responsible for delays or failure to fulfil our obligations due to circumstances beyond our reasonable control, such as natural disasters, strikes, supply chain disruptions, or regulatory changes.

PRIVACY & DATA PROTECTION

41. Your privacy is important to us. Please review our PDPA policy for information on how we collect, use, and protect your personal data.

42. By using the website and purchasing from Joyson Pte Ltd, you consent to the collection and use of your information as described in the PDPA policy.

WEBSITE USER CONDUCT AND OBLIGATIONS

43. By creating a account on the website, you agree to use the website in accordance with applicable laws and these T&Cs.

44. You must not use the website to:
• Engage in fraudulent activity.
• Upload or transmit harmful software, viruses, or any malicious code.
• Interfere with the security or proper functioning of the website.

45. Medical professionals must ensure the accurate use of their credentials and maintain compliance with any applicable healthcare laws when ordering or using products designed for professional use.

46. We reserve the right to terminate or suspend your access to the website if you violate all the applicable laws and T&Cs.

47. Upon termination, all outstanding payments must still be settled, any provisions that survive termination will remain in effect.

MEDICAL DISCLAIMER

48. Products intended for professional use must only be used by licensed medical professionals.

49. The general public should use over the counter and general sales list (GSL) products according to instructions provided in the product insert and this website’s content should not be substitute for professional medical advice.

50. Medical professionals must use products sold in accordance with medical standards and are responsible for the appropriate use of such products.

INTELLECTUAL PROPERTY

51. All content on our website, social media platforms and catalogues, including text, images, and trademarks, is the property of Joyson Pte Ltd and our Licensors, protected under copyright law. You may not reproduce or use any content without prior written permission.

GOVERNING LAW AND JURISDICTION

52. These T&Cs are governed by the laws of Singapore.

53. Any disputes arising out of or in connection with these T&Cs will be subject to the exclusive jurisdiction of the courts of Singapore.

DISPUTE RESOLUTION

54. Any disputes arising from these terms and conditions will be resolved through mediation or arbitration in Singapore.
